1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and AltB Consulting Private Limited ("AltB", "we", "us", or "our"), a company incorporated under the Companies Act, 2013 and registered in India.

By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our website or services.

2. Services

AltB Consulting provides professional consulting services in the areas of strategic advisory, operational excellence, technology and innovation, and financial advisory. The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate Statement of Work or engagement letter agreed between the parties.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.

3. Intellectual Property

All content on this website — including but not limited to text, graphics, logos, icons, images, and software — is the property of AltB Consulting Ltd and is protected by applicable intellectual property laws.

• You may not reproduce, distribute, modify, or create derivative works without our express written consent.
• You may view and print pages for your own personal, non-commercial use provided you do not modify the content.
• Deliverables produced under an engagement are subject to intellectual property provisions agreed in the relevant Statement of Work.
• Any feedback or suggestions you provide to us may be used by us without restriction or compensation to you.

4. Confidentiality

Both parties agree to keep confidential any proprietary, sensitive, or non-public information disclosed in the course of an engagement ("Confidential Information"). This obligation does not apply to information that:

• Is or becomes publicly available through no breach of this obligation.
• Was rightfully known to the receiving party prior to disclosure.
• Is independently developed by the receiving party without reference to Confidential Information.
• Is required to be disclosed by law, regulation, or court order.

Confidentiality obligations shall survive the termination of any engagement for a period of three (3) years.

5. Fees and Payment

Fees for consulting services are as agreed in the relevant Statement of Work or engagement letter. Unless otherwise stated:

• Invoices are payable within thirty (30) days of the invoice date.
• Late payments may attract interest at the rate of 2% per annum above the RBI Repo Rate prevailing at the time of payment (currently 6.25% per annum as of February 2025), compounded monthly, under The Interest Act, 1978 and the applicable provisions of the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006.
• All fees are exclusive of GST and other taxes, which will be added where applicable at the prevailing rate.
• Reasonable out-of-pocket expenses incurred in the delivery of services will be charged at cost with supporting receipts.

6. Limitation of Liability

To the fullest extent permitted by applicable law:

• AltB Consulting's total liability to you in connection with any engagement shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of goodwill.
• We make no warranty that our website will be error-free, uninterrupted, or free from viruses or other harmful components.

7. Termination

Either party may terminate an engagement by providing written notice as specified in the relevant Statement of Work. In the event of termination:

• You shall pay for all services rendered and expenses incurred up to the date of termination.
• We shall deliver all completed work product to you within fourteen (14) days of termination.
• Termination shall not affect any rights or obligations that have accrued prior to the date of termination.

We may also terminate or suspend access to our website immediately, without prior notice, if we believe you have breached these Terms.

8. Third-Party Links

Our website may contain links to third-party websites or services that are not owned or controlled by AltB Consulting. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites. We strongly recommend that you review the terms and privacy policy of any third-party site you visit.

9. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of India.

Each party irrevocably agrees that the courts of competent jurisdiction in India shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms. Where the parties are unable to resolve a dispute through good-faith negotiation within thirty (30) days, the matter shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The seat of arbitration shall be India, proceedings shall be conducted in English, and the award shall be final and binding on both parties.

10. Changes to These Terms

We reserve the right to amend these Terms at any time. We will notify you of any material changes by updating the "Last updated" date at the top of this page. Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms.
